These Terms of Use (“Terms”) govern your access to and use of Pendulum Law Ltd.’s website, membership portal, publications, and related services (collectively, the “Services”).

By accessing or using our website or Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

“Pendulum Law”, “we”, “us”, and “our” refer to Pendulum Law Ltd.
“You” and “your” refer to the individual user and, where applicable, the organization (such as a school, district, post-secondary institution, or other employer) on whose behalf you are using the Services.


1. About Pendulum Law & Educational Purpose

Pendulum Law provides preventive education law publications and research services for Canadian K–12 and post-secondary leaders, including:

  • Monthly Primary (K–12) Updates

  • Monthly Post-Secondary Updates

  • A Bundle Membership combining both

  • Special Issues on focused topics (e.g., human rights, privacy, student safety, labour and employment)

  • Access to a searchable, indexed archive of past publications and cases

Our content is provided for general information and professional learning only. It is not legal advice and should not be relied upon as a substitute for advice from a qualified lawyer.


2. No Legal Advice & No Lawyer–Client Relationship

Nothing in our publications, emails, website, or membership portal:

  • creates a lawyer–client relationship between you (or your institution) and Pendulum Law;

  • constitutes legal advice tailored to your specific facts, situation, or jurisdiction; or

  • should be used as a substitute for retaining legal counsel.

You are responsible for consulting your own legal advisor before relying on, or acting on, any information obtained through the Services.


3. Memberships, Accounts & Automatic Renewal

3.1 Membership Types

We currently offer the following memberships (each a “Membership”):

  • Primary (K–12) Membership

  • Post-Secondary Membership

  • Bundle Membership (Primary + Post-Secondary)

From time to time, we may add or modify membership options or pricing.

3.2 Account & Login

To access member-only content, you must create an account and keep your login credentials confidential. You:

  • are responsible for all activity under your account;

  • agree not to share your login with any person who is not covered by your Membership or extended copyright; and

  • agree to notify us immediately if you suspect unauthorized use of your account.

3.3 Automatic Renewal & Billing

Memberships are billed yearly and renew automatically unless cancelled in accordance with these Terms or the policies stated at checkout.

By purchasing a Membership, you authorize us (or our payment processor) to charge the applicable yearly fee to your selected payment method until you cancel.

We may adjust membership pricing for future renewal periods. If we do, we will provide notice in advance in a commercially reasonable way (e.g., email or notice in the portal), and the new price will apply on your next renewal date.

3.4 Cancellation

You may cancel your Membership at any time; however:

  • Cancellation takes effect at the end of your current billing period; and

  • Unless otherwise stated at checkout or under applicable law, fees are non-refundable once charged.

After cancellation takes effect, your access to the member portal and publications will end.


4. Intellectual Property & Copyright

4.1 Our Content

All content provided through Pendulum Law—including publications, case summaries, research notes, discussion questions, analyses, PDFs, website text, graphics, layout, and design (collectively, “Pendulum Content”)—is owned or licensed by Pendulum Law Ltd. and protected by copyright and other intellectual property laws.

Except as expressly permitted in these Terms or in a written agreement with us:

  • You do not acquire any ownership or copyright in Pendulum Content;

  • Pendulum Content may not be copied, reproduced, uploaded, posted, distributed, transmitted, or modified, in whole or in part, in any form or by any means; and

  • You may not resell, sublicense, or commercially exploit Pendulum Content.


5. Permitted Use – Individual Membership

Unless you have purchased extended copyright or a separate institutional arrangement, a standard Membership is for individual use only.

Under an individual Membership, you may:

  • access and read Pendulum Content in the member portal;

  • download and print a limited number of copies for your personal reference and professional learning; and

  • use Pendulum Content internally only, to inform your own decision-making and professional practice.

You may not, under an individual Membership:

  • distribute whole publications or substantial portions to staff, departments, or institutions;

  • upload or store Pendulum Content in shared drives, intranets, course platforms, or learning management systems;

  • post Pendulum Content to websites, social media, or newsletters; or

  • translate, adapt, or incorporate Pendulum Content into other materials for distribution, training, or publication, unless expressly permitted by Pendulum Law in writing.


6. Extended Copyright for Schools (Staff-Wide Use)

Pendulum Law offers extended copyright options that allow broader internal sharing within a school or institution.

6.1 Scope of Extended Copyright

Unless otherwise agreed in writing, extended copyright:

  • applies to one specific school (or institution) named at the time of purchase;

  • permits staff-wide internal use within that school (e.g., administrators, teachers, HR, leadership teams); and

  • allows you to:

    • share copies of Pendulum Law publications internally with staff at that school;

    • use Pendulum Content for staff meetings, professional learning, and leadership development;

    • display content in internal presentations or workshops for that school’s personnel.

6.2 Limits on Extended Copyright

Extended copyright does not:

  • permit sharing with other schools, school boards, districts, or institutions that have not purchased their own extended rights;

  • allow public posting, uploading, or distribution outside your school (e.g., public websites, social media, external newsletters); or

  • transfer ownership of any intellectual property rights in Pendulum Content.

To share Pendulum Content across multiple schools, a district, board, or consortium, a separate extended copyright or group license must be obtained from Pendulum Law.


7. Prohibited Uses

You agree that you will not:

  • use the Services for any unlawful purpose;

  • remove, obscure, or alter copyright notices or proprietary legends;

  • attempt to bypass or defeat access controls, login protections, or technical safeguards;

  • share your login credentials with individuals who are not covered by your Membership or extended copyright;

  • use Pendulum Content to create competing publications, services, or databases; or

  • engage in automated scraping, copying, or bulk download of Pendulum Content.

We reserve the right to suspend or terminate access, without refund, if we reasonably believe you are misusing the Services or violating these Terms.


8. Third-Party Links & Tools

Our website or member portal may contain links to third-party websites or services (e.g., CanLII decisions, tribunal sites, file-hosting platforms). These are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or security of third-party sites.

Your use of third-party tools or links is at your own risk and subject to the terms of those third parties.


9. Disclaimers

To the fullest extent permitted by law:

  • The Services and Pendulum Content are provided “as is” and “as available”;

  • We make no representations or warranties, express or implied, about accuracy, completeness, timeliness, or suitability of the information; and

  • We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Legal decisions, statutes, policies, and tribunal interpretations change over time. Although we aim to keep our publications current and accurate, we cannot guarantee that any given case summary or analysis reflects the most recent law or is appropriate for your specific circumstances.


10. Limitation of Liability

To the fullest extent permitted by law, Pendulum Law Ltd., its directors, employees, and contributors:

  • are not liable for any indirect, incidental, consequential, special, or punitive damages;

  • are not liable for loss of profits, loss of data, loss of goodwill, or business interruption; and

  • are not responsible for decisions made or actions taken in reliance on Pendulum Content.

If we are found liable to you in respect of the Services or these Terms, our total aggregate liability will be limited to the amount of membership fees you paid to Pendulum Law for the 12-month period immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.


11. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and safeguard personal information. By using the Services, you consent to our handling of personal information in accordance with that policy.

12. Changes to the Services or Terms

We may update, modify, or discontinue parts of the Services from time to time.

We may also update these Terms. When we do, we will revise the “Last updated” date above and may provide additional notice (e.g., in the member portal or by email). Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.


13. Governing Law & Jurisdiction

These Terms, and any disputes arising out of or relating to them or to your use of the Services, are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without giving effect to conflict-of-laws principles.

You agree to submit to the exclusive jurisdiction of the courts of Alberta, unless otherwise required by applicable law.
